JapanesePal.com · Terms of Service

JapanesePal is operated by Windvale LLC, a limited liability company registered in Wyoming, United States. These Terms of Service explain the terms for using our AI Japanese learning services.

Questions? Email [email protected] or submit a request through our Support page.

About these Terms

These Terms apply to JapanesePal.com, our conversation service at talk.japanesepal.com, and related JapanesePal services that link to these Terms (together, the “Service”). “JapanesePal,” “we,” “us” and “our” mean Windvale LLC. “You” means the person using or purchasing the Service.

We make these Terms available before you are asked to accept them when creating an account or making a purchase. Selecting the acceptance control forms your agreement with us, subject to applicable law. If you do not agree, do not complete that registration or purchase.

For a purchase, the plan description and order conditions disclosed before you accept also form part of your agreement. A lawful, specifically agreed purchase condition controls over a general condition in these Terms for that purchase. Our Refund Policy addresses refunds. Our Privacy Policy explains personal data processing; accepting these Terms is not consent to every use of personal data.

Nothing in these Terms removes consumer rights that cannot lawfully be excluded.

Who can use JapanesePal

You must be at least 13 years old to use the Service. We do not provide the Service to children under 13, even with parental permission.

If you are 13 or older but have not reached the age or legal capacity required to enter this agreement where you live, you may use the Service only with the permission and involvement of a parent or legal guardian as required by applicable law. A parent or guardian must enter the agreement on your behalf where the law requires this. Paid purchases require a legally valid agreement and authorization to use the payment method.

We may make proportionate eligibility checks. If we learn that a user is under 13, we will stop providing the Service to that user and handle associated personal data as described in our Privacy Policy and required by law.

Our Service and AI limitations

JapanesePal provides AI Japanese conversation practice through voice and text, including role-play and feedback on pronunciation, grammar, vocabulary and natural expression. Features and availability depend on the experience or plan you select. The Service is delivered digitally; it does not involve shipping physical products.

Our conversational tutors are AI systems, not human teachers. AI responses and assessments can be inaccurate, incomplete or unsuitable for a particular context. Use feedback as a learning aid and check information before relying on it for important decisions. The Service is not professional legal, medical or other specialist advice.

We do not guarantee a particular level of fluency, examination result, job outcome or completion time. Progress indicators and any JapanesePal learning certificates reflect platform activities or assessments; they are not official qualifications or a promise of recognition by employers, schools or examination bodies.

JapanesePal is not affiliated with or endorsed by JLPT examination bodies or entertainment franchises merely referenced in learning topics. Cultural role-play does not authorize copying third-party scripts or other protected works.

These limitations do not reduce our obligation to provide the Service with the quality required by your contract and applicable law.

Accounts and security

Provide accurate information needed to operate your account and keep your contact and billing details current. Protect your credentials, use only accounts you are authorized to access, and promptly tell us if you suspect unauthorized access.

Your account is for your own use unless your agreed plan expressly permits additional users. Do not sell an account or allow others to evade payment or usage limits through it.

You are responsible for activity you authorize and for taking reasonable steps to protect your account. This does not make you automatically responsible for every unauthorized action, remove protections for unauthorized payments, or excuse a security failure for which we are legally responsible.

Contact us by email or through the Support page if you need help securing or recovering an account.

Free access and paid plans

You can start with the free experience described on our website without entering a credit card. Starting a free conversation or creating a free account does not, by itself, authorize us to charge you or enroll you in a paid subscription.

Paid features, usage allowances, access duration and any material restrictions will be described before purchase. We will not charge for additional usage or paid features unless you have authorized the applicable charges. Any fair-use restriction affecting a paid offer must be disclosed clearly and must not contradict the offer you accepted.

If we offer a separate trial or promotion that converts to paid access, its duration, subsequent price, renewal terms and cancellation method will be disclosed before you enroll. Conversion requires the consent required by law.

You need a suitable device and internet connection. Voice features may require microphone permission. Material compatibility requirements or geographical restrictions affecting a purchase will be disclosed before purchase.

Orders, prices and payments

Before you place a paid order, we will show the selected service, price, currency, applicable taxes and mandatory fees, payment schedule and access duration. For recurring plans, this includes the recurring charge, billing interval, any minimum commitment, and how to cancel. Any change from an introductory price will be explained before you agree.

By submitting a paid order, you authorize the specific charges disclosed and agreed to at checkout. You must be authorized to use the payment method. Charges for optional extras require your agreement.

Paid access is activated following successful payment confirmation, subject to any different start date disclosed in your order. We will provide an order confirmation in a form you can retain. Contact Support if payment succeeds but access is not available.

Payment services or a separate seller or merchant of record may be used where identified at checkout. Any applicable purchase terms from that seller will be made available before purchase. Their involvement does not remove Windvale LLC’s own obligations for the Service or your rights against the party responsible under applicable law.

If payment fails, we may ask you to update your payment details and, after appropriate notice, suspend unpaid access. You can ask us to investigate a billing error without giving up rights available through your payment provider or the law.

Subscriptions, renewal and cancellation

Automatic renewal

Automatic renewal applies only if you choose a recurring plan and give the required informed consent. That plan renews for the billing periods and at the charges disclosed in your order, subject to any lawful, properly notified change, until you cancel. Purchasing a non-recurring plan does not authorize recurring charges.

We will provide subscription confirmation, cancellation information, and trial, renewal or other reminders when required by applicable law.

Cancelling a subscription

You may cancel automatic renewal using the cancellation method made available with your subscription and identified in your purchase confirmation. We will provide a simple cancellation process, including an online cancellation method for subscriptions entered into online where required by law. We will not impose steps that unlawfully obstruct or delay cancellation.

You can also contact [email protected] or our Support page for cancellation help. If you cannot access your account or the cancellation control, contact us so that we can reasonably verify the request and assist you. A valid cancellation is not subject to a discretionary approval by our support team.

Unless your order states a more favorable arrangement or the law gives you a different right, ordinary cancellation stops future renewals and access continues until the end of the period already paid for. We will confirm cancellation and its effective date in a form you can retain. Refunds and statutory withdrawal are addressed in Section 8.

Price changes

We will not increase the agreed price for a period you have already purchased. Any proposed increase for a future renewal will be communicated in advance, with its effective date and instructions for cancelling before it applies, within the notice periods required by law. We will obtain additional consent where required.

If you cancel before the affected renewal, you will not be charged the increased renewal price. A material change to another subscription condition is also subject to the notice and consumer protections described in these Terms and applicable law.

Refunds and withdrawal rights

Please review our Refund Policy for refund eligibility, conditions and request instructions. The policy made available for your purchase applies, subject to applicable law; later changes do not retroactively remove rights attached to an earlier purchase.

Nothing in these Terms or the Refund Policy excludes or limits any statutory right of withdrawal, remedy for a service that does not conform to the contract, or other mandatory consumer right. Starting to use the Service does not, by itself, waive those rights.

Acceptable use

Use the Service lawfully and in a way that respects other people’s rights. Do not:

  • Submit unlawful content, exploit or endanger children, threaten others, or use the Service to facilitate fraud or other illegal conduct.
  • Infringe intellectual property or privacy rights, impersonate another person, or upload confidential information without authorization.
  • Introduce malware, attack the Service, access systems without permission, or interfere with other users’ access.
  • Bypass payment, security or usage controls, including through multiple accounts or unauthorized automated access.
  • Resell access, scrape content at scale, or use automation in a way that materially disrupts the Service or violates disclosed access restrictions.
  • Falsify learning records or certificates, or present AI interactions as evidence of an official qualification or a person’s endorsement.

These restrictions do not prohibit activities that applicable law expressly permits despite a contractual restriction. We apply proportionate measures to suspected misuse as described in Section 13.

Your content and AI responses

You retain the rights you have in the text, voice recordings and other material you submit to the Service (“Your Content”). You must have the rights, permissions or other lawful basis needed to submit it and have it processed for the requested activity.

You give us a non-exclusive, worldwide, royalty-free permission to host, transmit, transcribe and process Your Content only as reasonably necessary to provide the features you request, maintain and secure the Service, and respond to support requests. This permission extends to service providers acting for us for those purposes. It lasts only as long as the relevant processing is needed, subject to your deletion rights and the limited retention described in our Privacy Policy.

This permission does not transfer ownership of Your Content or give us a general right to sell it or use it in unrelated advertising. These Terms do not grant a separate license to use your conversations to train general-purpose AI models. Any such use must be separately explained and lawfully authorized, including consent where required.

You may use AI responses delivered to you for lawful learning activities, subject to applicable law and third-party rights. We do not promise that an AI response is unique, copyrightable or free of third-party rights; similar responses may be generated for others. Review responses before publishing or relying on them.

The Privacy Policy governs how we explain and handle personal data. A content license in these Terms is not a substitute for a lawful basis to process personal data.

Our intellectual property and third parties

The Service’s software, design, branding and learning materials belong to Windvale LLC or the relevant rights holders. Your subscription gives you access to the features and materials included in your plan; it does not transfer ownership of the platform.

You may use the Service and its materials for the learning activities permitted by your plan. Do not commercially redistribute our protected materials, remove ownership notices, or copy or modify the software without permission, except where the Service expressly enables the activity or applicable law permits it. These Terms do not restrict lawful reviews, criticism or quotations.

Links to external websites do not imply endorsement. If you choose to use a separate third-party service, its disclosed terms may apply to that interaction. This does not remove our responsibilities for the JapanesePal Service or for providers performing obligations for which we remain responsible under law.

Availability and changes to the Service

We will provide the Service with reasonable care and skill and in accordance with the applicable contract. Maintenance, technical problems and events outside our reasonable control may interrupt access. We will take reasonable steps to reduce disruption and restore affected access. We do not promise that every feature will be available without interruption or error.

We may make changes for valid reasons, such as security, legal requirements, necessary technical updates or changes to supporting technology. Changes must comply with your contract and applicable law. We will give reasonable advance notice of a material adverse change where practicable and the notice required by law; urgent security or legal action may require a shorter notice period.

We will not use a general change provision to remove the essential benefits of a paid plan without the rights and remedies required by your contract and the law. If a change materially disadvantages you, or the Service does not conform to your contract, you retain any applicable right to correction, termination or another remedy. Financial remedies are addressed in our Refund Policy and applicable law.

Suspension and termination

We may restrict, suspend or end access where reasonably necessary because of a material breach of these Terms, a serious security risk, fraud, unpaid charges, ineligibility, or a legal requirement. The action should be proportionate to the issue.

Where appropriate, we will explain the reason and provide an opportunity to correct the issue before terminating access. We may act immediately if delay would create a serious risk or conflict with law. We will explain the action afterward where legally permitted and appropriate.

If you believe an action is mistaken, request a review by emailing Support or submitting an online support request. We will consider the information you provide.

Termination does not automatically forfeit prepaid fees or remove your legal remedies. If we discontinue a paid service or end access for reasons unrelated to your breach, we will honor your rights concerning services not delivered, including any entitlement to unused prepaid fees under the Refund Policy and applicable law. We will not continue renewing a subscription for a service we have permanently stopped providing.

Privacy, history deletion and account closure

Our Privacy Policy explains what personal data is processed, why it is processed, applicable retention and your privacy rights.

You can use the history controls to delete individual conversation records or clear your conversation history. You can also use the available account controls to request deletion and closure of your account. Contact Support if you cannot use these controls or need help exercising a privacy right.

Deleting conversation history does not itself cancel a paid subscription or request a refund. During account closure, we will help you address any associated subscription: where we manage the subscription, closure includes stopping its future renewals; where a separate seller manages it, we will explain and assist with the applicable cancellation method. We will not make a legal data-deletion right conditional on giving up another consumer right.

Certain transaction, security or legal records may need to be retained for limited purposes after deletion or closure, as explained in the Privacy Policy. Do not assume that clearing history erases records we must lawfully keep.

Consumer rights and responsibility for loss

If you are a consumer, the Service must meet the requirements imposed by the laws that apply to your purchase. Depending on your location, these include requirements that digital services conform to their description and contract, that necessary updates be provided, and that services be performed with reasonable care and skill. Available remedies depend on the problem and applicable law.

Consumers in the European Economic Area and the United Kingdom retain their applicable statutory rights relating to digital services, digital content and service performance. Where the Australian Consumer Law applies, its consumer guarantees and remedies cannot be excluded by these Terms. Consumers elsewhere retain the mandatory protections applicable to them.

We are responsible for reasonably foreseeable loss caused by our breach of this agreement or failure to exercise the care required by law. A loss is reasonably foreseeable if it is an obvious consequence of the breach or was reasonably contemplated when the agreement was made.

Nothing in these Terms excludes or limits responsibility for fraud, fraudulent misrepresentation, intentional wrongdoing, or death or personal injury caused by negligence. Nor do these Terms exclude gross negligence or any other responsibility where the law prohibits doing so.

The explanations of AI limitations and service availability do not override these obligations. Our Refund Policy explains the refund process without limiting mandatory remedies.

Governing law and resolving disputes

These Terms are governed by the laws of the State of Wyoming and applicable United States federal law. If you are a consumer entitled to mandatory protections under the laws of your country or state of residence, this choice of law does not deprive you of those protections.

If a problem arises, you can contact [email protected] or submit a request through our Support page. We will review your concern and seek a fair resolution. Contacting Support is not a condition for exercising a legal right or meeting a statutory deadline.

A dispute may be brought before a court with jurisdiction under applicable law. These Terms do not require an eligible consumer to bring a claim exclusively in Wyoming or prevent use of courts, consumer complaint channels or dispute-resolution procedures available under mandatory local law. They do not impose mandatory arbitration or require you to waive a right to bring or participate in a claim that the law protects.

Changes to these Terms and other provisions

We may update these Terms for valid reasons, including legal developments, security needs or changes to the Service and its business arrangements. We will identify the updated version and its effective date. Material changes will be communicated in advance through an appropriate notice, such as email or an in-service notice, with any notice period required by law. We will seek renewed agreement where required.

Changes will not apply retroactively to remove rights attached to an earlier purchase or dispute. If you do not agree to a proposed change, you may stop future renewals or close your account, while retaining rights relating to the period already purchased. A material change affecting an existing paid contract is also subject to Section 12 and applicable law.

If a provision is unenforceable, the remaining provisions continue only to the extent the agreement can fairly and lawfully operate without it. A delay in enforcing a right does not automatically waive that right.

We may transfer this agreement as part of a legitimate business reorganization or sale only in accordance with applicable law and without reducing your contractual or mandatory rights. We will provide notice or obtain consent where required. Contract terms and policies cannot exclude representations or rights that the law makes binding.
